The Duke O'Death is only available after completing the "Duel" Random Event: take the car parked near a gas station in Grand Senora Desert, and escape (or kill) the gang of rednecks that will attack you.
After unlocking it, the Duke O'Death will appear parked in a ruined shed in south El Burro Heights, and near an oil pumpjack in the Grand Senora Desert, northeast of Harmony.

The Duke O'Death can be purchased in GTA Online from Warstock Cache & Carry for a price of $665,000.
